Master Affiliate Partnership Agreement

This Master Affiliate Partnership Agreement ("Agreement") is entered into between Digital Clients LLC ("Company") and the applicant ("Master Affiliate"). By submitting this application, you agree to the following terms:
1. Role & Responsibilities
As a Master Affiliate, you are authorized to recruit and manage sub-affiliates under your network. You are responsible for the actions of your sub-affiliates and ensuring they adhere to our brand guidelines and ethical marketing practices.
2. Compensation & Pricing
Master Affiliates may set custom pricing for their sub-affiliates within the limits defined by the Company. Commissions and payouts will be processed according to the specific terms set in your dashboard.
3. Domain & Provisioning Limits
Each Master Affiliate account is subject to a domain provisioning limit. Exceeding this limit requires approval from the Company and may involve additional fees or plan upgrades.
4. Software Ownership & Management
Digital Clients LLC maintains and manages the Quote Builder software and retains full, exclusive ownership of all intellectual property, code, and systems associated with the platform. No ownership rights are transferred to the Master Affiliate.
5. Indemnity & Liability
Digital Clients LLC is a software provider and is not liable for the actual construction, development, or delivery of websites built using the platform. The Company has no liability or legal relationship with the Master Affiliate other than the provision of software access. The Master Affiliate agrees to indemnify and hold harmless Digital Clients LLC from any claims arising from the Master Affiliate's business operations or their relationship with sub-affiliates and end clients.
6. Termination
Either party may terminate this agreement with 30 days' written notice. The Company reserves the right to terminate accounts immediately for violations of terms or fraudulent activity.
